These Terms of Service (“Terms”) govern access to and use of properpete.com (the “Site”), operated by Proper Pete Co., LLC (“Proper Pete Co.,” “we,” “us,” or “our”). By using the Site, you agree to these Terms. If you do not agree, do not use the Site. Submitting the contact form is an additional confirmation that you have read these Terms and the Privacy Policy.
These Terms cover the Site only. They do not govern paid client work. A client engagement exists only under a separate written agreement.
The Site
The Site provides information about Proper Pete Co. and its capabilities. It is informational. Browsing, linking to public pages, and contacting us through published channels are permitted. You may not: (a) misrepresent affiliation with us; (b) scrape, crawl, or copy the Site in a way that imposes an unreasonable load or that we have asked you to stop; (c) attempt to disrupt, probe, or bypass security of the Site; (d) submit malware, spam, or unlawful content; or (e) use the Site for any unlawful purpose.
No offer; engagements by writing only
Nothing on the Site is an offer of services, an offer of securities, or legal, financial, tax, or investment advice. Descriptions of packages and prices — including any schema.org or other structured data — are illustrative starting points and may change. A binding engagement exists only under a separate written agreement (for example, a statement of work or services agreement) signed or expressly accepted by both parties.
Fees, cancellation, and refunds
The Site has no checkout and collects no payment. Submitting the contact form does not create a fee, deposit, or refund obligation. Fees, deposits, cancellation, and any refund terms for client work are defined only in a written agreement. Until that agreement is in place, browsing or contacting us does not create a payment obligation.
Intellectual property
Site content — including text, design, layout, graphics, logos, and the Proper Pete Co. name and marks — is owned by Proper Pete Co., LLC or its licensors and is protected by applicable intellectual-property laws. Some marks are used under common law and may not be federally registered. You may not copy, modify, distribute, or exploit Site content except as allowed by law (including fair use) or with our prior written permission. No license is granted by implication.
User submissions
If you send information through the contact form, the Audio Identity brief, or other published channels, you represent that you have the right to send it and that it is accurate to the best of your knowledge. You grant us a non-exclusive, royalty-free right to use that information to respond, to evaluate a potential relationship, to produce evaluation audio when requested, and to operate and secure the Site. Do not submit confidential information you are not authorized to share. We do not treat unsolicited submissions as confidential unless we agree otherwise in writing.
Preview audio (Samples)
If you request custom audio samples through the Audio Identity brief or otherwise, the following terms apply in addition to the rest of these Terms. They govern evaluation audio only. Paid production is governed only by a separate written agreement.
No licence to use. Evaluation audio (“Samples”) remains the exclusive property of Proper Pete Co., LLC. You receive only a limited, revocable, non-transferable right to listen privately so you can decide whether to hire us. That right is personal to you and ends when we revoke it or when a paid engagement for that direction begins, whichever is earlier.
You may not copy, post, stream, broadcast, embed, synchronize with picture, perform publicly, distribute, modify, register with a performing-rights organization, remove watermarks or voice tags, or claim authorship or ownership of any Sample. You may not use a Sample in advertising, on a website, on social media, on hold, in-store, or in any public or commercial setting.
Unauthorized use. Use of a Sample other than private evaluation is infringement and a breach of these Terms. Without limiting other remedies (including injunctive relief and actual damages), such use is your offer to purchase the then-current Audio Identity Theme package at list price, which we may accept by invoice.
Unused directions. Directions you do not hire may be offered to other clients. A direction you hire under a written agreement will not be re-licensed by us to a third party for a competing use in the same named-brand category in the territory stated in that agreement.
Paid work. A licence to use finished audio exists only under a separate written statement of work, after we have received all amounts due, and only for the named brand and media stated in that agreement. Copyright in the recordings is not assigned unless a writing signed by us expressly says so. Package prices on the Site are starting points, not offers.
These Sample terms are owner-drafted and are not a substitute for advice from licensed counsel. Governing law and venue for this section are the same as for these Terms (Oregon; Multnomah County / District of Oregon).
Privacy
How we collect and use information on the Site is described in the Privacy Policy. If there is a conflict between these Terms and the Privacy Policy about information handling, the Privacy Policy controls for that subject.
Third-party properties
Portfolio brands and linked third-party sites operate under their own terms and policies. We are not responsible for their content or practices. A link is not an endorsement.
Disclaimer of warranties
THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT CONTENT IS COMPLETE OR CURRENT.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROPER PETE CO., LLC AND ITS MEMBERS, OFFICERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SITE, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR CLAIMS ARISING FROM THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).
These limitations do not apply to liability for our gross negligence, recklessness, or willful misconduct, or to any liability that cannot be limited or disclaimed under applicable law, including non-waivable rights under consumer-protection statutes. Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability is limited to the greatest extent permitted.
Indemnity
You agree to indemnify and hold harmless Proper Pete Co., LLC and its members, officers, and agents from third-party claims, damages, and reasonable expenses (including reasonable attorneys’ fees) arising out of: (a) your misuse of the Site; (b) content you submit; or (c) your violation of these Terms or of applicable law. This obligation does not require you to indemnify us for our own gross negligence, recklessness, or willful misconduct, and it applies only to the extent permitted by law.
Governing law and venue
These Terms are governed by the laws of the State of Oregon, United States, without regard to conflict-of-law rules that would apply another jurisdiction’s law. Subject to any non-waivable rights you may have, exclusive venue for disputes arising from these Terms or the Site lies in the state courts sitting in Multnomah County, Oregon, or the United States District Court for the District of Oregon.
Changes
We may update these Terms by posting a revised version on this page and changing the “Last updated” date. The revised Terms apply to use of the Site after they are posted. If you do not agree to the revised Terms, stop using the Site.
Miscellaneous
If a provision of these Terms is held unenforceable, the remaining provisions remain in effect. These Terms, together with the Privacy Policy and Legal Notice for the subjects they cover, are the entire agreement between you and us regarding use of the Site. They do not create any third-party beneficiary rights. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign them in connection with a reorganization or transfer of the business. Headings are for convenience only.
